Refund Policy
This policy is strict, and it is meant to be. Read it before you buy, because after the licence is issued and activated there is no refund.
In one sentence: a LLCServco Drive licence is sold for a fixed term to a business, and once we have issued the licence key and the software has been activated the sale is final.
1. No consumer cooling-off period
LLCServco Drive is sold only to organisations that have passed KYB verification, and only for use in the course of their business. This is a business-to-business contract. The cancellation and cooling-off rights that consumer law gives to private individuals do not apply to it, and we do not offer an equivalent voluntarily.
2. Activation is delivery
The thing you buy is the licence. We deliver it by issuing a licence key to your organisation. The product is fully delivered at the moment the software is activated with that key, because from that moment your organisation has everything it paid for and the software is running on your own systems, outside our control and beyond our recall.
Accordingly: a licence is non-refundable once it has been issued and the software has been activated. That is the ordinary case, and it is the case for nearly every order.
3. The one exception
We will consider a refund in a single situation: we took payment and then failed to deliver a licence at all. That means no licence key was issued to you and the software was never activated.
To be considered, a request must:
- be made in writing to [TO BE SET BY THE OWNER] (refund request address);
- reach us within [TO BE SET BY THE OWNER] days of the date of payment; and
- identify the order, the paying entity and the payment reference.
Outside that window, and in every other circumstance, no refund is available. If we can still deliver the licence, we will deliver it rather than refund it; delivery of what you bought discharges the claim.
4. What is never refunded
The following do not qualify for a refund, in whole or in part, whether or not the software has been used:
- Change of mind — the organisation decided it no longer wants the product.
- A change in your own circumstances — reorganisation, merger, closure of a department, a change of budget, a change of strategy, or a decision to adopt a different product.
- Failure of your own infrastructure — your server, storage, hardware, operating system, network, power or internet connection did not work, was not available, or was not adequate for the software.
- Staff turnover — the people who chose, installed, understood or administered the software have left, and nobody in the organisation now runs it.
- Choosing not to deploy — the licence was issued but the organisation never installed the software, never rolled it out, or shelved the project.
- Loss of data — your files are stored by you, on your own systems. See Data Responsibility.
- Revocation for cause — the licence was suspended or revoked because verification failed, because information given to us was false, or because these terms were breached.
5. No pro-rata refunds
A licence is priced for its whole term, not by the day. If you stop using the software, cancel your deployment, or let the licence run out unused, we do not refund the unused part of the term. This applies equally where you terminate early for your own reasons and where the licence ends because your organisation ceased to trade.
6. Payment disputes
If you believe a payment was taken in error, contact us before raising a chargeback with your bank or card issuer. Raising a chargeback for a licence that was in fact delivered and activated is a breach of these terms, and we may suspend the licence and recover the disputed amount and our costs.
7. What this policy does not take away
Nothing in this policy excludes or limits any right or remedy that the applicable law does not permit us to exclude or limit. Where a mandatory rule of law gives your organisation a remedy, that rule prevails over this policy to the extent of the conflict, and the rest of this policy continues to apply.
8. Governing law and forum
This policy and any dispute about a refund are governed by the law of [TO BE SET BY THE OWNER]. The courts of [TO BE SET BY THE OWNER] have exclusive jurisdiction.
