Terms of Sale
LLCServco Drive is sold only to registered organisations and companies that pass business verification (KYB). It is not sold to individuals.
1. Who these terms bind
These terms govern every purchase of a LLCServco Drive licence from llcservco.org, published by [TO BE SET BY THE OWNER] (legal entity name), registered under number [TO BE SET BY THE OWNER] at [TO BE SET BY THE OWNER] (registered office). In these terms, we and the publisher mean that entity; you means the organisation buying the licence.
By placing an order you confirm that you are authorised to bind that organisation to these terms.
2. This is a business-to-business sale
We sell to organisations only. We do not sell to consumers, to private individuals buying for personal use, or to sole traders who have no registered legal entity. If you are not buying on behalf of a registered organisation, you may not buy this product.
Because the buyer is a business acting in the course of its business, consumer sales law — including consumer cancellation and cooling-off rights — does not apply to this contract. Our Refund Policy sets out the only circumstances in which money is returned.
3. KYB verification is a condition of sale
Every order is conditional on your organisation passing Know Your Business (KYB) verification. No licence is issued before verification succeeds. In practice, KYB means we require and check the following.
- A registered legal entity. A company, corporation, partnership with legal personality, association, foundation, public body or equivalent, properly registered in its jurisdiction and currently in good standing.
- Verifiable registration details. The registered name, registration or company number, jurisdiction of registration, registered address and, where applicable, tax or VAT identification — all of which we must be able to confirm against the relevant public register or an equivalent authoritative source.
- An authorised signatory. A named natural person with authority to enter into this contract for the organisation, together with evidence of that authority and proof of that person's identity.
- Beneficial ownership and control, where the structure of the organisation makes that relevant to us or to any legal obligation we are under.
- Sanctions and restriction screening. We will not supply an organisation, or a person controlling it, that is subject to sanctions or other legal restrictions applying to us.

4. Our right to refuse and to revoke
We may refuse any order, at our discretion and without giving reasons, including where verification fails, where the material supplied is incomplete, or where we simply cannot confirm the organisation.
If information given during verification was false, misleading or incomplete, or if it later proves to be so, or if it stops being true and you do not tell us, we may suspend or revoke the licence with immediate effect. The same applies if your organisation is dissolved, struck off, or becomes subject to sanctions or other restrictions.
Revocation for failed or falsified verification does not entitle you to a refund. See the Refund Policy.
You must tell us without delay if the registration details, the authorised signatory, or the control of your organisation change.
5. What you are buying
You are buying a licence to use LLCServco Drive software for a fixed term. You are not buying the software itself, and you are not buying storage, hosting or custody of your files. The software runs on your own server, on your own hardware, on your own network. What that means for your data is set out in Data Responsibility; what you may and may not do with the software is set out in Publisher Rights and Licence.
6. Term, price and payment
Licence terms and prices are [TO BE SET BY THE OWNER] (available licence terms and their prices). Prices are stated exclusive or inclusive of tax as marked at the point of order; our tax and VAT status is [TO BE SET BY THE OWNER].
Payment is due before the licence is issued unless we agree otherwise in writing. A licence expires at the end of its term. It does not renew automatically unless the order expressly says so.
7. Accuracy of what you tell us
You are responsible for the accuracy of the organisation details, the billing details and the technical details you give us. We are not liable for a licence issued to the wrong entity, or delivered to the wrong address, because the information you supplied was wrong.
8. Governing law
This contract is governed by the law of [TO BE SET BY THE OWNER], and the courts of [TO BE SET BY THE OWNER] have exclusive jurisdiction over any dispute arising from it.
9. Changes to these terms
We may change these terms for future orders. The terms that apply to your licence are the ones published on the day your order was accepted. We do not change the terms of a licence already issued.
